Terms of Use

Public offer for access to software products and services.

Effective 11 September 2026

The Ukrainian version is the primary version of this document.

1. General provisions

1.1. These Terms of Use (the “Terms”) govern access to and use of the PipePort website, software products, services, integrations and other digital services offered under the PipePort brand, including PipePort Chat (collectively, the “Service”). The Service is provided by sole proprietor Maksym Mykolaiovych Fastov (Ukrainian taxpayer registration number 3093405776, Ukraine) (the “Provider”, “we”, “us”).

1.2. These Terms constitute the Provider’s public offer to enter into an agreement for access to the Service. A User may be a legal entity, a sole proprietor or an adult individual. A person accepting the Terms on a User’s behalf confirms that they are authorized to do so. The User is responsible for the actions of persons to whom it grants access to the Service.

1.3. For paid access, the User accepts this offer by making an online payment after reviewing the Terms. If the User is granted trial access, these Terms apply from the start of use after the User has had an opportunity to review them. Merely visiting the website or granting technical permission to connect a third-party platform does not constitute an order for paid access.

1.4. Where mandatory consumer protection laws or other provisions from which the parties cannot derogate by agreement apply to a particular User, those provisions prevail.

2. The PipePort Service

2.1. PipePort is a platform of software products, integrations and digital services for businesses. The Service includes PipePort Chat, among other products. Individual PipePort products may have different purposes, features, technical requirements and integrations with third-party systems.

2.2. Current descriptions of the functionality, technical requirements, limitations and supported features of individual PipePort products are available on our website at https://pipeport.pro/.

2.3. The Service consists of providing remote access to the agreed functionality for the relevant period. Development of custom features, data migration, consulting and training are not included in the access fee unless expressly included in the relevant purchase. Future features and development plans are not obligations of the Provider unless the parties expressly agree otherwise.

3. Accounts and third-party services

3.1. Individual PipePort products may require the User to have valid accounts and access rights for third-party services, including Pipedrive, Telegram or other platforms identified in the description of the relevant product.

3.2. The User is responsible for lawful use of those accounts, safeguarding its credentials, properly configuring access rights and complying with the terms of the relevant third-party services.

3.3. We do not control Pipedrive, Telegram or other third-party services. Their availability, functionality, rules, APIs, limits or technical changes may affect the relevant PipePort products. We are not responsible for acts, omissions, failures or changes of third-party services outside our reasonable control.

3.4. Fees for Pipedrive subscriptions and other third-party products are not included in the PipePort fee. The Provider does not act on behalf of those platforms or give warranties on their behalf.

4. Acceptable use and User responsibilities

4.1. The User undertakes to use the Service in good faith, lawfully and in accordance with these Terms.

4.2. In particular, the User must not:

  • use the Service for unlawful, fraudulent, harmful activities or activities that infringe third-party rights;
  • attempt to bypass technical restrictions, security measures or access controls;
  • interfere with the Service, gain unauthorized access or impose an excessive load on the infrastructure;
  • use the Service in a way that breaches the rules of Pipedrive, Telegram or other connected platforms.

4.3. The User is responsible for the content of messages, files and other data that the User or its authorized users transmit or process through the Service, and for having the necessary lawful grounds for that processing.

4.4. If the User’s breach of these Terms or the law gives rise to third-party claims against the Provider concerning the User’s data, content or communications, the User will reimburse the Provider for documented direct losses and necessary, reasonable legal defense costs to the extent permitted by law.

4.5. The Service is not intended for the deliberate processing of special categories of personal data, criminal conviction data or data subject to a special legal regime. The User must not use the Service for such processing.

5. Fees and payment

5.1. The price, currency, product and access period are determined by the terms made available to the User before online payment. Payment is made for the chosen period; the price for a period already paid for does not change.

5.2. Paid access is provided after successful online payment and satisfaction of the technical connection requirements necessary for the relevant product to work. The paid period is calculated from the time access is actually provided.

5.3. Trial access, if granted to the User, lasts 14 calendar days from activation and does not become paid access without a separate online payment. Paid access is provided only for the selected, paid period. There is no automatic renewal or recurring charge. To use the Service after the paid period ends, the User makes a new online payment under the terms in force at the time of the new purchase.

5.4. When the paid period ends, paid access ceases without any further action by the User. Disconnecting or uninstalling an application before the period ends does not alter the duration of access already paid for.

5.5. Fees paid for access to the Service are nonrefundable, except where a refund is required by applicable law. Voluntarily ceasing to use the Service, not using it, disconnecting it or uninstalling the application is not, in itself, grounds for a refund for the paid period.

5.6. The User may contact support about the Service using the contact details in section 16.

5.7. Payment and the access period may be evidenced by payment service data and the Service’s technical records.

6. Intellectual property

6.1. All economic intellectual property rights in the PipePort website, products, software code, design, documentation, trade names and other components of the Service belong to the Provider and/or the relevant rights holders.

6.2. The User is granted a limited, non-exclusive, non-transferable right to use the Service during the period of lawful access for its own lawful purposes in accordance with these Terms, without a right to resell access.

6.3. These Terms do not transfer ownership of the Service or any intellectual property rights of the Provider or third parties to the User.

6.4. Rights in the User’s messages, files and other data remain with the User or the relevant rights holders. The User permits the Provider to process those data to the extent necessary to operate the selected Service features and perform these Terms. This permission does not include using the content of private correspondence for advertising, selling data or training artificial intelligence models for the Provider’s own purposes.

7. Privacy and personal data

7.1. The PipePort Privacy Policy explains how we process personal data. Reading it does not, by itself, constitute consent to processing for which the law requires separate consent.

7.2. The User determines the purposes and lawful grounds for processing its customers’ data and ensures appropriate notice to individuals and any necessary permissions. The Provider processes such data to provide the selected Service features. Each party is responsible for its own duties under applicable law.

7.3. Within the selected features, the Service may receive, transmit, store, display, search, match and update data concerning CRM users, the User’s employees and representatives, its customers and participants in connected communications. These data may include contact details, messages, attachments, related CRM records and technical metadata. The actual scope of processing depends on the selected product and its settings.

7.4. The Provider uses the User’s data to provide the Service in accordance with the selected features and settings, maintain its operation and security, and comply with mandatory legal requirements.

7.5. The Provider applies reasonable technical and organizational measures to protect the User’s data and limits access to persons who need it for operation of the Service. The contents of communications and other non-public User information remain confidential.

7.6. To operate the Service, the Provider may engage providers of hosting, infrastructure, data storage, security and other necessary services without obtaining the User’s separate approval for each engagement. Independent platforms connected by the User do not become the Provider’s contractors merely because of that connection.

7.7. Data is transferred between the Service and platforms connected by the User within the scope of the selected features. The Provider is not responsible for those platforms’ independent processing of data.

8. Disclaimer of warranties

8.1. To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available”.

8.2. The Provider does not warrant uninterrupted or error-free operation of the Service, the absence of delays, or compatibility with every software or technical environment.

8.3. We do not warrant any particular commercial, financial or other outcome from using the Service.

8.4. We do not warrant uninterrupted operation of third-party services, integrations, communication channels, networks or APIs outside our control.

8.5. Nothing in this section excludes warranties or rights that cannot be excluded or limited under applicable law.

8.6. This section does not release the Provider from its obligation to provide paid access to the selected functionality and comply with mandatory legal requirements. Support inquiries are accepted using the contact details in section 16. No guaranteed uptime percentage, round-the-clock support or specific time for fixing errors is provided unless expressly agreed otherwise or required by law.

9. Limitation of liability

9.1. To the maximum extent permitted by applicable law, the Provider is not liable for lost profits or indirect losses, including lost revenue, business opportunities and reputational harm.

9.2. The Provider is not responsible for the consequences of the User’s actions or settings or those of independent third-party platforms to the extent they are not caused by the Provider’s breach.

9.3. The Provider’s aggregate liability to the User for claims relating to a particular paid product, regardless of the legal basis of the claim, is limited to the fees actually paid for that product, but no more than the fees for six months of access. If the paid period exceeds six months, the relevant portion of the fee is calculated pro rata by the duration of access. Multiple claims arising from one event or related events do not increase this cap.

10. Suspension and termination of access

10.1. The User may stop using the Service or disconnect or uninstall a product by an available method. Ceasing use does not alter the duration of access already paid for or give rise to a refund except as provided in clause 5.5. The consequences for data are set out in the Privacy Policy.

10.2. The Provider may restrict or suspend access in the event of a material breach of the Terms, unlawful activity, a mandatory legal requirement or a security threat. If the grounds for the restriction are resolved, access may be restored during the paid period. After the paid period ends, paid access ceases unless the User makes a new payment.

10.3. The Provider may terminate access if the User materially breaches these Terms, to the extent permitted by law. If the nature of the breach allows it to be remedied without threatening the Service or others, the Provider may give the User time to remedy it. The User may cease using the Service in accordance with clause 10.1. The consequences of termination for payments are determined by clause 5.5 and mandatory legal provisions.

10.4. If the Provider decides to discontinue a product, it will stop selling access for periods it cannot provide and notify Users in the circumstances and within the time limits required by law or the rules of the platform through which the product is distributed. The consequences for access already paid for but not provided are determined by clause 5.5 and mandatory legal provisions.

11. Force majeure

11.1. Whether a party is released from liability due to force majeure is determined by applicable law.

12. Changes to these Terms

12.1. We may update these Terms. If changes concern an application published in Pipedrive Marketplace, the Provider gives Pipedrive and Users of that application written notice at least 30 calendar days before the changes take effect, in accordance with the platform’s current requirements. For other products, notice of changes is given when and within the time limits required by applicable law.

12.2. Changes do not apply retroactively or alter the price or duration of access already paid for. Updated terms apply to a new purchase after they take effect and are provided to the User. The terms agreed for an earlier paid period remain in force until that period ends, except where a change is mandatory under law.

13. Governing law and disputes

13.1. These Terms are governed by Ukrainian law, unless mandatory provisions applicable to a particular User provide otherwise.

13.2. Disputes under these Terms are resolved by the competent courts of Ukraine, unless mandatory jurisdiction and venue rules applicable to a particular dispute provide otherwise.

14. Miscellaneous

14.1. If any provision of these Terms is held invalid, unlawful or unenforceable, the remaining provisions remain in force. That provision applies to the maximum extent permitted by law or, if that is impossible, is severed from the rest of the Terms.

14.2. The Provider’s failure or delay in exercising any right or remedy under these Terms does not constitute a waiver and does not prevent its exercise later.

14.3. Notices under the agreement are sent to the contact address provided by the User during purchase or use of the Service, or through another communication channel available to the parties. The User keeps its contact information current. The legal effect of a notice is determined by applicable law.

14.4. After the agreement ends, provisions concerning amounts due, intellectual property, confidentiality, liability and dispute resolution survive to the extent appropriate to their purpose.

15. Language

15.1. The Ukrainian version of these Terms is the primary version. If a translation into another language is published, the Ukrainian version prevails in the event of a discrepancy to the extent permitted by applicable law.
